Terms of Engagement.
Our commercial terms for Open Education Culture Action Labs. These policies are designed to balance flexibility for your leadership calendar with the stability required to deliver high-quality, small-group executive sessions.
1. Definitions
In these terms:
- “Lab” or “Event” refers to an Open Education Culture Action Lab or related executive session delivered by Neil Fogarty Research.
- “Client” refers to the organisation booking the place(s).
- “Delegate” refers to the specific leader(s) attending the Lab.
- “Deposit” refers to the initial payment required to secure a booking.
- “Event Date” is the scheduled date of the Lab.
2. Formation of Contract
A binding contract between the Client and Neil Fogarty Research is formed when:
- The Client pays the Deposit via our online system (Stripe); or
- The Client confirms a booking in writing (email) and requests an invoice.
By booking, the person making the reservation confirms they have the authority to bind the Client to these terms.
3. Fees and Payment
3.1. The standard fee for a Culture Action Lab is £1,750 per session.
3.2. A Deposit of £450 is payable immediately upon booking to secure the date. This creates a firm reservation and removes the slot from general availability.
3.3. The Balance of £1,300 will be invoiced approximately 30 days prior to the Event Date. Payment of the balance is due no later than 14 days before the Event Date.
3.4. Failure to pay the balance by the due date may result in the forfeiture of the Deposit and the cancellation of the booking to allow waitlisted delegates to attend.
4. Cancellation and Transfers (Client)
Because these are small, executive-level Labs with limited seats (8-15 leaders), late cancellations have a disproportionate impact on the group dynamic and viability. Our policy balances your need for flexibility with our need to plan effectively.
You may cancel for a full refund of the Deposit, or transfer the Deposit to a future date at no cost.
The Deposit is non-refundable but fully transferable to another date within 12 months. If the full balance has been paid, the balance is refundable.
The full fee (Deposit + Balance) is due and non-refundable. Transfers to a future date are at our discretion and may incur a re-booking fee.
Delegate Substitution: You may substitute the specific Delegate attending the Lab at any time up to 24 hours before the event without penalty, provided the new Delegate holds a suitable leadership role.
5. Cancellations and Changes (By Us)
We reserve the right to cancel or reschedule a Lab due to facilitator illness, insufficient numbers (essential for peer learning), or venue unavailability. In such cases:
- You will be offered a choice of alternative dates; or
- A full refund of all monies paid (Deposit and Balance).
We will not be liable for any consequential costs incurred by the Client (e.g., travel or accommodation bookings).
6. Programme and Venue
We aim to deliver the programme as described. However, we reserve the right to adjust specific content, case studies, or the venue (within the same city/region) to ensure the highest quality experience based on the specific cohort mix.
7. Delegate Responsibilities
Confidentiality: To ensure psychological safety, the Client and Delegate agree to the "Chatham House Rule". Insights and learnings may be shared, but comments and contributions must not be attributed to specific individuals or other organisations present.
Conduct: We reserve the right to refuse entry or ask a Delegate to leave if their behaviour is disruptive or incompatible with a professional learning environment. No refund will be given in this circumstance.
8. Intellectual Property
All frameworks, models, slides, and materials (e.g., The Six Spectra, Resonance Framework) provided during the Lab remain the intellectual property of Neil Fogarty Research.
Permitted Use: The Client is granted a non-exclusive license to use these materials for internal organisational development and governance purposes. You may not resell, repackage, or distribute these materials commercially or publicly without our prior written consent.
9. Limitation of Liability
Our liability to the Client under this agreement is limited to the total fees paid for the specific Lab. We accept no liability for indirect or consequential loss (such as loss of profit or business opportunity) arising from the Lab or the use of our materials. Nothing in these terms excludes liability for death or personal injury caused by our negligence.
10. Data Protection
We collect and process Delegate data (name, role, email) solely for the purpose of administering the Event, sharing pre-reading materials, and managing the booking. This is processed in accordance with our Privacy Policy.
